Terms of Reference 

Composition of Board

1. The HHIC Chairman plus Chairman of each Member Group
2. Representatives of the five organisations which provide the largest financial contribution
3. Additional co-opted members
4. Director (Heating Services) in attendance
5. Heating Services Manager (secretary) 

Remit of Board

1. Provides overall governance of the Division
2. Develop and implement Business Plan
3. Set budgets and membership subscriptions
4. Monitor achievement against Business plan
5. Establish and maintain structure of Member Groups
6. Consider applications for membership to HHIC
7. Board members may be called on to represent HHIC at third party meetings. In these situations individuals must represent the views of the HHIC and not their individual companies
8. Ensures that Division operates within the Corporate constitution and rules
9. Considers membership applications 

Meetings  

1. Normally 4 per year with minimum of 3.
2. Chairman or deputy to Chair meeting
3. Quorum Chair/ Deputy plus 5 others
4. Decisions by consensus.
